Terms of Trade
These Terms of Trade apply to all products and services supplied by Kalra Textile Zone Ltd to business clients unless otherwise agreed in writing.
1. Definitions
“Company” means Kalra Textile Zone Ltd.
“Client” means the person or business purchasing products or services from the Company.
“Products” means machinery, equipment, parts and accessories supplied by the Company.
“Services” means technical advice, delivery coordination and related support services.
“Contract” means any agreement for the supply of Products or Services.
2. Quotations and Orders
All quotations are provided subject to availability and remain valid for 30 days unless otherwise stated. Orders are accepted only once confirmed in writing by the Company. The Company reserves the right to refuse orders at its discretion.
3. Product Specifications
Product descriptions, specifications and images are provided for guidance only. Minor variations may occur due to manufacturer updates or supply chain changes. The Company is not responsible for manufacturer design changes beyond its control.
4. Pricing and Payment
All prices are exclusive of VAT unless stated otherwise. Payment terms are as stated on the invoice. Late payments may incur statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Delivery
Delivery times are estimates only and not guaranteed. Risk passes to the Client upon delivery. The Company is not liable for delays caused by carriers, manufacturers, customs or circumstances beyond its control.
6. Installation and Use
Unless expressly agreed in writing, the Company does not provide installation services. The Client is responsible for ensuring that Products are installed, operated and maintained in accordance with manufacturer instructions and applicable regulations.
7. Returns and Cancellations
Orders may not be cancelled once goods have been dispatched or production has commenced. Returns are accepted only by prior written agreement and may be subject to restocking fees. Custom or special-order machinery is non-returnable.
8. Warranty
Products are supplied with manufacturer warranties where applicable. The Company does not provide additional warranties beyond those offered by manufacturers and shall not be responsible for manufacturer warranty decisions.
9. Liability
The Company’s liability is limited to the value of the Products or Services supplied under the relevant Contract. The Company shall not be liable for indirect or consequential losses including loss of production, profits, contracts or business opportunity.
10. Force Majeure
The Company shall not be liable for failure or delay in performance due to events beyond reasonable control, including supply chain disruption, transport delays, industrial action, or regulatory restrictions.
11. Confidentiality
Both parties shall keep confidential any commercial, pricing or technical information disclosed during the course of the Contract, except where disclosure is required by law.
12. Termination
Either party may terminate the Contract if the other commits a material breach and fails to remedy it within a reasonable period following written notice. Payment remains due for Products supplied prior to termination.
13. Governing Law
All Contracts and these Terms of Trade are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
